These Terms govern use of the Zain Media website and, where applicable, Zain Media services, ZSOS™, client systems and related business engagements.
They should be read with the applicable Proposal, Scope of Work (“SOW”), contract, Privacy Policy and Cookie Policy.
1. Zain Media services
Zain Media primarily serves business clients.
Services may include:
- SEO/GEO/AIO through ZSOS™;
- paid advertising;
- social media management;
- creative production;
- photography/video;
- web design/development;
- branding;
- marketing strategy;
- CRM/automation;
- WhatsApp/omnichannel;
- AI-enabled marketing workflows;
- other agreed services.
2. Agreement hierarchy
The commercial hierarchy is:
Company-wide Terms → service-specific provisions → client Proposal/SOW/Contract.
A client-specific agreement prevails for that engagement where it conflicts with these general Terms.
3. Authority
A person acting for a company confirms they have authority to provide instructions and accept the relevant agreement.
4. Enquiries
An enquiry, form submission, email or WhatsApp message does not by itself create a client relationship.
5. Acceptance
A Proposal/SOW/Contract becomes binding using the acceptance method stated in it, including signature or another written acceptance method expressly authorised by Zain Media.
Email/WhatsApp may be used for operational communication and approvals but do not automatically amend signed commercial terms unless the parties clearly agree in writing.
6. Scope
Fees cover only the agreed Scope of Work.
Additional work may include:
- platforms;
- campaigns;
- campaign duration;
- production sessions/hours;
- designs;
- videos/Reels;
- website pages;
- features;
- integrations;
- substantial rework;
- extra deliverables;
- revisions beyond the included allowance;
- source/raw/editable files.
Additional work may require a separate quote.
7. Commencement
A service is considered commenced once Zain Media begins material work or commits project resources.
This may include research, strategy, staff allocation, setup, design, development, campaign preparation, production booking, kickoff activities or third-party commitments.
8. Contract duration and renewal
Zain Media may offer 3-, 6- and 12-month engagements.
One month may be offered as an initial trial.
Unless stated otherwise:
- 3 months renews for 3 months;
- 6 months renews for 6 months;
- 12 months renews for 12 months.
Written non-renewal notice must be received at least 15 days before expiry.
A one-month trial does not automatically become permanent monthly service unless agreed.
ZSOS™ normally has a minimum initial term of six months unless otherwise agreed.
9. Payment
Preferred model:
100% in advance.
An expressly agreed alternative may include:
70% in advance / 30% on delivery.
The payment arrangement in the Proposal/SOW/Contract controls.
Where a due date is stated, it applies.
If none is stated, payment is due upon receipt.
Third-party costs and applicable government/tax charges are separate unless stated otherwise.
10. Third-party costs
Client bears third-party costs unless expressly included.
Examples:
- ad spend;
- subscriptions;
- platforms;
- plugins;
- licences;
- domain;
- external hosting;
- stock assets;
- APIs;
- locations;
- equipment;
- travel;
- talent/models;
- external suppliers.
Zain Media may charge a management/handling fee.
11. Overdue payments
If an undisputed payment remains overdue for 15 calendar days, Zain Media may suspend the affected service unless the client agreement states otherwise.
Suspension:
- does not cancel the debt;
- is not a breach by Zain Media;
- may alter timelines;
- may create rebooking/third-party costs.
12. Client responsibilities
Client is responsible for supplying required information, materials, access, approvals and feedback.
Client confirms it has the rights and permissions necessary for materials supplied or approved.
13. Client approvals
Where approval is required, Zain Media may submit content/work before publication or implementation.
Approval confirms the client’s acceptance of factual/commercial information it is responsible for checking.
Zain Media remains responsible for its own proven execution errors.
14. Review periods and delays
Client should normally respond within three business days.
Silence is not approval.
Silence does not suspend payment obligations.
Client-caused delay may extend timelines and may generate additional costs.
15. Revisions
Unless otherwise stated, two revision rounds are included where revisions reasonably apply.
One revision round means one consolidated set of feedback on one submitted version.
Additional rounds may be separately charged.
New scope, new concept, additional feature/page/platform or substantial change after approval is not merely a revision.
16. ZSOS™ / SEO / GEO / AIO
ZSOS™ is Zain Media’s managed search operating system.
It is not a separate company or standalone SaaS provider.
No guarantee is made for:
- ranking;
- traffic;
- AI visibility;
- leads;
- sales;
- revenue;
- specific search outcome.
17. Paid advertising
Client pays advertising spend unless otherwise stated.
Management fees are separate unless included.
Each platform is within scope only if agreed.
No guarantee is made for:
- ROAS;
- ROI;
- sales;
- leads;
- revenue;
- ad approval;
- account approval.
18. Social media management
Scope defines managed platforms, content, production, community management, reporting and advertising.
Additional platforms/deliverables are extra unless agreed.
19. Creative production
Final edited deliverables are included according to scope.
Raw/source/editable files are not included automatically and may carry a separate fee.
Additional sessions/hours/locations/equipment/talent/travel are extra unless included.
20. Web design and development
Unless otherwise agreed:
- two design revision rounds are included;
- extra pages/features/integrations are additional work;
- domain remains client-owned;
- Zain Media hosting infrastructure remains Zain Media’s;
- completed website may be handed over/migrated after full settlement;
- third-party licences remain subject to their licences;
- reusable/source assets are not automatically transferred.
21. Branding
Unless otherwise agreed:
- two revision rounds;
- final agreed deliverables after payment;
- source/editable files may be separately charged.
22. CRM / Automation / WhatsApp / AI / Omnichannel
Third-party subscriptions/costs are client-paid unless included.
Platform rules and technical limitations apply.
23. Third-party platforms
Zain Media is not responsible for matters outside its reasonable control, including:
- outages;
- algorithm changes;
- policy changes;
- account restrictions/suspension;
- API changes;
- removed features;
- ad rejection;
- pricing changes;
- platform discontinuation.
24. Account ownership/access
Pre-existing client-owned accounts remain client-owned.
Role/permission access should be used where practical.
Agency-created assets may be subject to platform rules, full payment and agreed handover/setup fees.
25. Intellectual property
Zain Media retains ownership of pre-existing:
- know-how;
- methods;
- frameworks;
- reusable templates;
- tools;
- code libraries;
- processes;
- reusable materials.
After full payment, the client receives rights to final deliverables expressly included in the scope, subject to third-party licences and excluded source/reusable components.
26. Raw/source files
Raw/source/editable files are not included by default.
They may be supplied separately where available and transferable.
27. Portfolio and case studies
Unless restricted by contract/NDA, Zain Media may display public work it participated in.
Confidential client information remains confidential.
Anonymised performance data may be used where the client cannot reasonably be identified.
Identifiable confidential case-study information requires client approval.
28. No guaranteed results
Zain Media provides professional execution of agreed scope but does not guarantee specific:
- sales;
- leads;
- revenue;
- profit;
- ROI;
- ROAS;
- rankings;
- traffic;
- followers;
- views;
- engagement;
- conversions;
- platform approval;
- AI visibility.
29. Early termination
Early termination requires formal written notice according to the client agreement.
An Early Termination Fee may apply where stated.
Termination does not remove amounts already earned, incurred or committed.
30. Refunds
After work has commenced or resources have been committed, payment is not refundable merely because the client:
- changes its mind;
- no longer wants the service;
- chooses another provider;
- voluntarily stops;
- is subjectively dissatisfied despite performance of the agreed scope.
Completed work is not refundable except where applicable mandatory law requires otherwise.
A proven material failure by Zain Media may support a proportionate refund for the genuinely unperformed portion.
31. Limitation of liability
To the maximum extent legally permitted, Zain Media is responsible only for direct, proven loss attributable to its breach/proven execution error.
It is not liable for indirect loss, projected profits/sales, missed opportunities, unguaranteed outcomes, third-party platform decisions, client-caused loss or events outside reasonable control.
Unless otherwise stated in the client agreement and where legally permitted, aggregate liability for an affected service is capped at fees actually paid to Zain Media for that service during the preceding three months.
For a project shorter than three months, the cap is fees paid for the affected project/service.
Ad spend and third-party costs are excluded.
Nothing limits liability that cannot legally be limited.
32. Force majeure
Events outside reasonable control may extend timelines and do not constitute breach.
33. Support
Support is provided during Zain Media’s official business days and business hours unless otherwise agreed.
No general 24/7 support commitment exists.
34. Acceptable use
Users must not:
- violate law;
- infringe rights;
- attempt unauthorised access;
- interfere with systems/security;
- transmit malicious code;
- impersonate others;
- misuse credentials or data.
35. Privacy
The Privacy Policy and Cookie Policy form part of the website’s legal framework.
36. Language
If the English and Arabic legal versions conflict, the Arabic version prevails.
37. Governing law
These Terms are governed by the laws of the State of Kuwait.
Competent courts of Kuwait have jurisdiction unless a valid client agreement lawfully provides otherwise.
38. Changes
Terms may be updated when services/business/legal requirements change.
